Strategic Transactions, Corporate Governance & Crisis Advisory

Overview

Arshia advises businesses when legal decisions directly affect leverage, momentum, and commercial direction. His practice focuses on sophisticated transactions, corporate governance, and strategic advisory work, often in fast‑moving situations that defy conventional playbooks. Clients turn to Arshia for clear judgment and solutions grounded in how business actually operates.

Arshia is frequently called when matters are complicated, misaligned, or veering off course. He is known for identifying leverage, reframing issues, and shifting the dynamics of deals and disputes. In high‑pressure situations, his role is to restore strategic control—cutting through noise, resetting expectations, and driving outcomes through focused, disciplined negotiation. He treats negotiation as a strategic tool to realign incentives and move matters forward with purpose.

His transactional practice includes advising on mergers and acquisitions, including asset‑purchase transactions, and negotiating a wide range of commercial, revenue‑driven, and risk‑allocation agreements central to client operations. This work spans distribution, supply, licensing, strategic alliance, and technology‑adjacent agreements; executive and employment arrangements; real‑estate‑driven operating structures such as subleases and facility‑based business models; and the ground‑up development of bespoke commercial and promotional programs designed to support growth while managing legal and regulatory exposure. Arshia regularly serves as outside general counsel to multi‑jurisdictional businesses, overseeing governance, compliance, and regulatory filings, and advising on AI‑related governance, including internal governance frameworks, chatbot and acceptable‑use policies, and data‑risk management strategies.

Arshia’s advisory and transactional work is reinforced by a substantial litigation background developed over many years handling complex commercial and product‑liability disputes in state and federal courts. He remains actively involved in significant matters, including a major U.S.‑based case involving the country of Mexico. This litigation experience informs how he structures transactions, anticipates pressure points, and negotiates from positions of strength—allowing clients to address risk before it hardens into conflict. Across engagements, Arshia is valued as a steady, strategic advisor who brings clarity, control, and forward momentum when the stakes are high and the path uncertain.
